End User License Agreement (EULA)
Effective date: June 7, 2023
This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Catch Up ("Company", "we", "us", or "our"), a company incorporated under the laws of the United Arab Emirates, for the use of the Catch Up mobile application ("App").
By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the App.
- LICENSE: Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable license to download, install, and use the App for your personal, non-commercial use on a mobile device owned or controlled by you.
- RESTRICTIONS: You agree not to, and will not permit others to, license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App or make the App available to any third party.
- MODIFICATIONS: We reserve the right to modify, suspend or discontinue, temporarily or permanently, the App or any service to which it connects, with or without notice and without liability to you.
- INTELLECTUAL PROPERTY: All rights, title and interest in and to the App, including without limitation all copyrights, patents, trade secrets, trade names, trademarks, service marks, publicity rights, and other intellectual property rights therein, are owned by us or our licensors.
- USER-GENERATED CONTENT: You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the content you upload to the App, as described in our Terms and Conditions.
- TERM AND TERMINATION: This Agreement shall remain in effect until terminated by you or us. We may, in our sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
- GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles.
- DISPUTE RESOLUTION: Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Financial Centre - London Court of International Arbitration (DIFC-LCIA), which Rules are deemed to be incorporated by reference into this clause.
- SEVERABILITY: If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
- AMENDMENTS TO THIS AGREEMENT: We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
